These Beta Features Terms “Terms” form part of the Master Services Agreement at https://www.udemy.com/terms/ub/ or any other written agreement between Udemy and the Customer governing the provision and use of the Services (the “Agreement”). These Terms apply to your access and use of certain features or functionality within the Udemy platform on a beta, pilot, or similar basis (the “Beta Features”). Any capitalized terms used herein have the same meaning as in the Agreement. If there is a conflict between these Terms and the Agreement, these Terms control.
- Changes to the Beta Features. Udemy may discontinue or modify Beta Features at any time without notice or liability in its sole discretion. Any changes, additions, or replacements to Beta Features are subject to these Terms.
- License. Udemy grants Customer a non-exclusive, non-transferable, non-sublicensable license to use the Beta Features solely for testing, research, and evaluation. Customer shall not duplicate, modify, disassemble, decompile, reverse engineer, rent, lease, loan, transfer, or tamper with the Beta Features.
- Input and Output. The Beta Features may include the ability to input data (“Input”) and receive output data (“Output”). Udemy prohibits data processors from training their large language models on any Input, Output, or any other Customer data provided through the Beta Features. Due to the nature of artificial intelligence and machine learning, Output may not be unique, and the Beta Features may generate the same or similar Output to other users.
- Feedback. If Customer provides any feedback, comments, or suggestions regarding the Beta Features ("Feedback"), Customer irrevocably transfers and assigns to Udemy all rights, title, and interest, including intellectual property rights, to the Feedback. Customer also waives any moral rights in the Feedback.
- Data usage and Improvements. Udemy may use data collected from Customer’s interactions with the Beta Features to improve its products and services. Service providers, subject to contractual restrictions prohibiting the use of Customer data for any purpose other than providing the services for the Beta Features, may access Customer data to provide necessary infrastructure or perform essential service functions for the Beta Features.
- Restrictions. Customer may not use the Beta Features and Output: (i) in violation of these Terms, the Agreement, or any laws; (ii) to mislead anyone into believing Output was solely human-generated; or (iii) in a manner that infringes, violates, or misappropriates Udemy’s rights or the rights of any third party.
- DISCLAIMER. ALL BETA FEATURES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND AND WITHOUT ANY PERFORMANCE OBLIGATIONS. UDEMY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. THE BETA FEATURES MAY CONTAIN ERRORS AND ARE PROVIDED FOR LIMITED EVALUATION PURPOSES ONLY. UDEMY DOES NOT WARRANT THE RESULTS THAT MAY BE OBTAINED FROM CUSTOMER’S USE OF THE BETA FEATURES, OR THE ACCURACY OR APPLICABILITY OF ANY OUTPUT. OUTPUTS GENERATED BY MACHINE LEARNING MODELS ARE PROBABILISTIC AND MAY CONTAIN MATERIAL INACCURACIES. ANY RELIANCE ON THE ACCURACY OF ANY OUTPUT IS AT CUSTOMER’S SOLE RISK.
- Confidentiality. The Beta Features, its existence, all related documentation, and information disclosed by Udemy, including performance data and features, are “Confidential Information” of Udemy. Customer will use this information only as necessary under these Terms and will not disclose it to any other person or entity. Customer will take all reasonable steps to protect it from unauthorized use or disclosure.
- Ownership. All title, interest, and ownership rights in the Beta Features and associated documentation, including improvements, modifications, and enhancements, remain with Udemy. Except for the rights expressly granted herein, no other rights are granted to Customer, either express or implied.
- Updating Terms. Udemy may update these Terms from time to time. If a material change is made, Udemy will provide Customer with reasonable notice before the change takes effect. Customer can review the most current version of the Terms at any time by visiting this page. Modifications become effective on the day they are posted unless stated otherwise. Continued use of the Beta Features after changes become effective indicates acceptance of those changes. Any revised Terms will supersede all previous Terms.
